Pat McGurn’s 2021 Proxy Season Perspective
January 7, 2021 •
In the Vid-Guide above, I sat down with ISS’ Pat McGurn to explore the latest voting recommendation policy updates from ISS (Institutional Shareholder Services). It was a wide-ranging conversation where we addressed these topics:
- How would you describe this past year for you personally?
- What is ISS’ board gender diversity policy now?
- How about director racial/ethnic diversity?
- When it comes to director tenure, what does your policy about term limits now look like – how does that vary between management and shareholder proposals?
- Where is ISS at when it comes to virtual shareholder meetings?
- How does ISS distinguish between federal and state forum provisions?
- What was the ISS tweak on dead-hand poison pills, board classification and advance notice bylaw provisions?
- A hot topic obviously is E&S – where does ISS stand on board oversight of risks related to that topic?
- Do you want to drill down to gender gap shareholder proposals?
- To mandatory arbitration and sexual harassment shareholder proposals?
- Where does ISS stand when it comes to Covid-related compensation decisions?
- I understand that ISS will no longer provide draft research reports to companies for review to fix factual errors – but that companies will still receive a copy of the final report. If a company does see a factual error in a report, what might it be able to do?
