For purposes of the proxy statement filed with the SEC, is an executive receiving a demo product from their own company a perk?
It’s a perk.
I know it feels like these free products, free samples, shouldn’t be considered perks because they’re coming from the company itself – shouldn’t a leader of the company benefit from what the company does?
Many would agree with you if you felt this way – the argument against it being a perk is that it raises management’s awareness of the company’s products.
But under the SEC’s analysis, these are “gifts” – so they are perks. An executive’s personal use of the products is not directly and integrally related to the performance of their duties.
