Is Director Independence Broken?
Boards sure are “independent” these days. There are so many sources of rules & regulations that require it – SEC rules, stock exchange standards, proxy advisor policies and institutional investor guidelines.
So it’s important to meet the requirements that at least a majority of the board be independent – and that the key board committees be comprised of all independent directors. If don’t have more independent directors than you can shake a stick at, you better have a good reason that fully explains why not.
