It’s pretty amazing that there scarcely is any CYA disclosures, cautionary disclosures in the proxy statements filed with the SEC these days. I’m so used to thinking of documents filed with the SEC as being liability documents, compliance shields, that it’s refreshing how far we’ve come over the past decade. But there still is a little bit of CYA in most proxies – it’s inevitable – and smart.
