For purposes of the proxy statement filed with the SEC, is personal security a perk?

It depends who you’re asking. A lot of companies believe it has a legitimate business purpose. The SEC believes otherwise. The SEC thinks it’s a perk.

It’s definitely an area that is growing in popularity – the bodyguards, the fencing, the fancy security systems with all the cameras. The world seems to be getting crazier and executives in certain industries increasingly are potential targets. They receive threats – solely due to their position in the company. Executives in the media, high tech and defense industries in particular. There is a general backlash against those in power.
